Terms of Service — LexGrade

#1. NATURE OF SERVICE
LexGrade ("LexGrade," "Service," "we," "our") is a citation-verification and quality-control tool for legal drafting. The Service extracts legal citations from user-supplied document text and verifies each against the public CourtListener database (Free Law Project) to flag citations that do not resolve to a real case ("hallucinations"). The rubric grading feature sends your submitted text to Anthropic's API to produce a quality score against the LexGrade rubric; by submitting text for grading you consent to that transmission. The Service also publishes an open methodology (rubric, technique register, and calibration set) for assessing the quality of legal motions; these materials are reference content, not legal advice.

LexGrade is a self-help quality-control tool. Verification results are based on whether each citation resolves to a record in the CourtListener database; they are not opinions about whether a case is good law, applicable to your facts, or sufficient to support your argument. LexGrade does not and cannot:
- Provide legal advice, opinions, or recommendations
- Apply the law to the facts of your particular situation
- Recommend legal strategies, selection of claims, or procedural vehicles
- Determine the legal sufficiency of any document
- Guarantee that any output is suitable for filing in any court
- Create an attorney-client relationship or privilege with any user
By using LexGrade, you acknowledge that you are representing yourself or that you are a licensed attorney exercising independent professional judgment on behalf of a client. In either case, you are solely responsible for the content of any document you file with any court or serve on any party.
#2. USER RESPONSIBILITY — MANDATORY VERIFICATION
ALL LEXGRADE OUTPUT REQUIRES INDEPENDENT HUMAN VERIFICATION BEFORE USE.
LexGrade's verifier reports whether each detected citation resolves to a record in the CourtListener database. A "Verified" status confirms the case exists in that database; it does not confirm any of the following, which remain your responsibility to assess:
- Whether the case supports the proposition for which you cited it
- Whether the case is still good law (it may have been overruled, reversed, distinguished, or superseded)
- Whether the case applies to your jurisdiction or facts
- Whether the surrounding document is procedurally sufficient for filing
- Whether any factual assertion you wrote is accurate
You must independently verify every element of every document before filing or relying on it. Specifically, you must:
(a) Verify every legal citation using an authoritative legal research service (Westlaw, LexisNexis, Google Scholar, or the court's own records). A "Verified" badge from LexGrade confirms only that a record exists; it does not confirm the citation supports the proposition you cited it for. Do not file any document containing a citation you have not independently confirmed.
(b) Verify every factual assertion against your own records, court filings, and exhibits.
(c) Confirm procedural compliance with the applicable court's rules, including local rules, individual part rules, and any standing orders of the assigned justice.
(d) Review the entire document for accuracy, completeness, internal consistency, and appropriateness for your specific legal situation.
(e) Consult a licensed attorney if you are uncertain about any legal issue, procedural requirement, or strategic decision.
If you file a document without performing the verification described above, you do so entirely at your own risk. LexGrade expressly disclaims any responsibility for documents filed without verification.
#3. AI DISCLOSURE OBLIGATIONS
Multiple federal and state courts now require disclosure of generative AI use in court filings. These requirements vary by jurisdiction, judge, and court. You are solely responsible for determining and complying with any applicable AI disclosure requirements in the court where you file.
LexGrade does not monitor, track, or ensure compliance with AI disclosure rules. Before filing any LexGrade-generated document, you should:
- Check whether the court has a standing order, local rule, or individual part rule regarding computer-assisted drafting
- Include any required certification, attestation, or disclosure statement
- Confirm that you have verified all citations and content as required by the applicable rule

#4. NO ATTORNEY-CLIENT RELATIONSHIP
No attorney-client relationship is created between you and LexGrade, its developers, owners, or affiliates. No communication with LexGrade is privileged. No information you provide to LexGrade is protected by attorney-client privilege.
If you require legal advice, you should consult a licensed attorney in your jurisdiction.
#5. NO WARRANTY — "AS IS" PROVISION
THE SERVICE AND ALL DOCUMENTS, TEMPLATES, OUTPUTS, AND MATERIALS PROVIDED BY LexGrade ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, LexGrade DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT
- NON-INFRINGEMENT
- THAT ANY OUTPUT IS LEGALLY SUFFICIENT, CURRENT, OR APPROPRIATE FOR FILING
LexGrade DOES NOT WARRANT THAT ANY DOCUMENT GENERATED WILL ACHIEVE ANY PARTICULAR LEGAL OUTCOME, BE ACCEPTED BY ANY COURT, OR COMPLY WITH ANY SPECIFIC LEGAL REQUIREMENT.
#6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LexGrade AND ITS OWNERS, DEVELOPERS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF A LEGAL PROCEEDING OR CLAIM
- COURT-IMPOSED SANCTIONS, PENALTIES, OR FEES
- ADVERSE LEGAL OUTCOMES OF ANY KIND
- DAMAGE TO LEGAL POSITION, REPUTATION, OR CREDIBILITY
- COSTS OF CORRECTIVE LEGAL WORK
ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF LexGrade HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TOTAL LIABILITY OF LexGrade FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
#7. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless LexGrade and its owners, developers, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
(a) Your use of any LexGrade-generated document (b) Your failure to verify any LexGrade output before filing or reliance (c) Your failure to comply with applicable AI disclosure requirements (d) Any representation that LexGrade output constitutes legal advice (e) Any violation of applicable rules of professional conduct in connection with your use of LexGrade
#8. INTELLECTUAL PROPERTY
The LexGrade, including the LexGrade Standard, System Prompt, calibration materials, and associated methodology, is the intellectual property of the developer. Users receive a limited, non-exclusive, non-transferable license to use LexGrade for generating documents for their own legal matters.
You may not:
- Reverse-engineer, decompile, or extract the system prompt, rubric, or scoring methodology
- Redistribute, sublicense, or resell LexGrade output as a competing service
- Use LexGrade to train or fine-tune other AI models
- Remove or alter any copyright notices or proprietary markings
Documents you generate using LexGrade are yours. The underlying system, methodology, and calibration materials remain the property of the developer.
#9. ACKNOWLEDGMENT
By using LexGrade, you acknowledge and agree that:
- LexGrade is not a law firm, attorney, or legal advisor
- LexGrade does not provide legal advice of any kind
- All output is a draft that requires your independent verification
- You are solely responsible for the content of any document you file
- AI-generated legal content can contain fabricated citations, inaccurate holdings, and other errors
- You will verify every citation, factual assertion, and procedural requirement before filing
- You will comply with all applicable AI disclosure requirements
- No attorney-client relationship or privilege exists between you and LexGrade
- You have read and understood these Terms of Service
IF YOU BELIEVE THAT LexGrade HAS PROVIDED YOU WITH LEGAL ADVICE, AN OPINION, OR A RECOMMENDATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, DEFENSES, OPTIONS, OR STRATEGIES, DO NOT USE THE SERVICE. ANY USE OF THE SERVICE CONSTITUTES YOUR ACKNOWLEDGMENT THAT NO SUCH ADVICE HAS BEEN PROVIDED.
#10. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the State of New York. Any dispute arising under this Agreement shall be resolved by binding arbitration in Monroe County, New York, in accordance with the rules of the American Arbitration Association.
